This website has been established to provide general information regarding the proposed settlement (“Settlement”) of the class action captioned Fox v. Fifth Third Bancorp, et al., No. 2020-CH-05219, pending in the Circuit Court of Cook County, Illinois. Capitalized terms used on this website and not otherwise defined shall have the same meanings ascribed to them in the Stipulation and Agreement of Settlement, dated May 9, 2023 (“Stipulation”).

Please be advised that your rights may be affected by the above-captioned securities class action (the “Litigation” or “Action”) pending in the Court if you are a member of the Settlement Class, which includes the following:

All persons and entities that purchased or otherwise acquired Fifth Third publicly traded common stock pursuant and/or traceable to the Registration Statement issued in connection with Fifth Third's March 22, 2019 acquisition of MB Financial, Inc., and who were allegedly damaged thereby. 

The Settlement resolves claims by plaintiff Steven Fox ("Plaintiff"), that have been asserted on behalf of himself and all other members of the Settlement Class, against Fifth Third Bancorp ("Fifth Third" or the "Company"), Greg D. Carmichael, Tayfun Tuzun, Mark D. Hazel, Nicholas K. Akins, B. Evan Bayh III, Jorge L. Benitez, Katherine B. Blackburn, Emerson L. Brumback, Jerry W. Burris, Gary R. Heminger, Jewell D. Hoover, Eileen A. Mallesch, Michael B. McCallister, and Marsha C. Williams (collectively, the "Individual Defendants" and, together with Fifth Third, the "Defendants").
